Terms of Service

These Terms of Service govern your access to and use of Brieflodge's website, application, and related services (together, the Services).
Quick summary
- Brieflodge provides collaborative tools for creating, reviewing, organising, and managing briefs and related workflow content.
- You remain responsible for your account, workspace members, and the content you upload.
- Paid subscriptions renew on the billing cycle selected at checkout unless cancelled before renewal.
- We may suspend misuse, unlawful activity, or activity that threatens the security or integrity of the Services.
- Your use of the Services is also subject to our Privacy Policy, Cookie Policy, and where applicable our Data Processing Agreement.
If you do not agree to these Terms, you must not access or use the Services.
1. Who we are
Brieflodge is operated by Brieflodge, located in Paris, France.
In these Terms, Brieflodge, we, us, and our refer to that entity.
2. Scope and acceptance
These Terms apply to your use of the Services, including our public website, user accounts, workspaces, collaboration tools, paid subscription features, and related support interactions.
By creating an account, accessing the Services, clicking to accept these Terms, or using the Services on behalf of an organisation, you confirm that you have read and accepted these Terms.
If you use the Services for an organisation, you represent that you have authority to bind that organisation and that references to you also include that organisation.
3. Eligibility and account registration
You must provide accurate, complete, and current information when creating and maintaining your account.
You are responsible for:
- maintaining the confidentiality of your authentication credentials;
- controlling access to your account and workspaces;
- ensuring that invited users are authorised to access the materials shared with them;
- updating contact and billing information when it changes.
You must notify us promptly if you become aware of unauthorised use of your account or any security incident involving the Services.
4. The Services
Brieflodge provides software that helps teams create, organise, edit, discuss, review, and manage briefs and related project workflows.
The Services may include workspace collaboration, comments, tasks, attachments, activity history, realtime editing, notifications, templates, and public marketing or support content.
We may update, improve, add, remove, or modify features over time. We will use reasonable efforts to avoid changes that materially reduce the core paid functionality of an active subscription without prior notice.
5. Plans, subscriptions, and payments
Some parts of the Services are available without charge, while other features require a paid subscription.
If you purchase a subscription:
- the applicable fees, billing interval, and included entitlements are presented at checkout or in the product;
- you authorise Brieflodge and its payment processor, Stripe, to charge the payment method you provide for recurring fees, taxes, and related charges;
- you must keep your payment details and invoicing information current and accurate;
- subscription fees are due in advance unless we expressly state otherwise.
Unless stated differently in your order or plan terms, subscriptions renew automatically at the end of each billing cycle until cancelled.
If payment fails or cannot be collected, we may retry payment, limit access to paid features, suspend the affected workspace, or downgrade the subscription after reasonable notice.
We may update pricing prospectively. If a recurring subscription price changes, we will provide advance notice before the new price applies to your next renewal.
6. Acceptable use
You may use the Services only in compliance with applicable law and these Terms.
You must not, and must not allow others to:
- use the Services for unlawful, fraudulent, deceptive, or abusive purposes;
- upload, store, or transmit content that infringes intellectual property, confidentiality, privacy, or other third-party rights;
- upload malware, destructive code, or material intended to compromise the availability, integrity, or security of the Services or third-party systems;
- bypass access controls, rate limits, workspace restrictions, or other protective measures;
- scrape, harvest, or mass-download data from the Services using automated means without our prior written permission;
- reverse engineer, decompile, copy, or create derivative works from the Services except where non-waivable law expressly permits it;
- use the Services in a manner that overburdens infrastructure or interferes with other customers' use of the Services.
We may investigate misuse and suspend or restrict access where we reasonably believe there has been a breach of these Terms, a legal violation, or a security threat.
7. Customer content and your responsibilities
As between you and Brieflodge, you retain your rights in the briefs, comments, files, attachments, suggestions, tasks, and other content you upload, submit, store, or generate through the Services (Customer Content).
You are responsible for:
- the legality, accuracy, and appropriateness of Customer Content;
- obtaining all rights, permissions, notices, and legal bases required to upload and process Customer Content;
- configuring the Services appropriately for your own legal, regulatory, and retention needs;
- deciding which users may access or export Customer Content in your workspaces.
You grant Brieflodge a limited, non-exclusive right to host, store, reproduce, process, transmit, back up, and display Customer Content solely to provide, secure, maintain, and improve the Services and to comply with legal obligations.
8. Confidentiality and workspace access
You are responsible for managing who you invite into your workspace, what permissions you grant, and what information you choose to store in the Services.
Brieflodge applies service-level confidentiality and access controls, but you remain responsible for the internal sharing practices of your organisation and the actions of users operating under your workspace.
9. Third-party services and integrations
Brieflodge relies on third-party providers to deliver parts of the Services, including infrastructure, authentication, storage, analytics, email, payments, realtime collaboration, and media integrations.
Current providers used in connection with the product include Cloudflare, Supabase, Directus, Resend, Stripe, PostHog, and Unsplash.
Specific third-party features may also be subject to separate terms or policies from those providers. Brieflodge is not responsible for products or services that are not under our control, except where required by law.
10. Privacy and data protection
Our Privacy Policy explains how Brieflodge processes personal data as a controller for account, billing, support, security, website, and service administration purposes.
Where you use the Services to process personal data in your own briefs, files, comments, attachments, or workflows, Brieflodge generally acts as a processor on your behalf. Those activities are governed by our Data Processing Agreement.
Our Cookie Policy explains how we use cookies and similar technologies on the marketing website and product surfaces.
11. Availability, support, and changes to the Services
We aim to keep the Services available, secure, and reliable. However, we do not guarantee uninterrupted or error-free operation.
We may perform maintenance, release updates, change infrastructure, and improve or reconfigure features from time to time. Planned maintenance will be scheduled reasonably where practical.
Support is provided through the channels we make available at the relevant time. Response times may vary based on issue severity, plan level, and business constraints.
12. Suspension and termination
You may stop using the Services at any time. If you have a paid subscription, cancellation takes effect at the end of the current paid term unless stated otherwise in the product.
We may suspend, restrict, or terminate access immediately if:
- you materially breach these Terms;
- payment remains overdue after reasonable notice;
- your use creates legal, security, reputational, or operational risk for Brieflodge, our customers, or third parties;
- we are required to do so by law or competent authority.
Termination or suspension does not limit any rights or remedies accrued before the effective date of that action.
13. Intellectual property
The Services, including software, interfaces, layout, visual design, documentation, trademarks, and related materials, are owned by Brieflodge or its licensors and are protected by applicable intellectual property laws.
Except for the limited right to use the Services under these Terms, no rights are granted to you by implication, estoppel, or otherwise.
If you provide feedback, comments, or suggestions about the Services, you grant Brieflodge a worldwide, non-exclusive, royalty-free right to use that feedback to operate, improve, and develop the Services without restriction or compensation.
14. Warranties disclaimer
To the maximum extent permitted by law, the Services are provided on an as is and as available basis.
Except as expressly stated in these Terms, Brieflodge disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation.
Nothing in these Terms excludes rights or guarantees that cannot be excluded under applicable law.
15. Limitation of liability
To the maximum extent permitted by law, Brieflodge will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, or data.
Brieflodge's total aggregate liability arising out of or relating to the Services or these Terms will not exceed the total fees paid by you to Brieflodge for the Services during the 12 months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded or limited.
16. Indemnity
You agree to indemnify and hold Brieflodge harmless from third-party claims, liabilities, damages, and expenses, including reasonable legal fees, arising from:
- your breach of these Terms;
- your misuse of the Services;
- your Customer Content;
- your violation of applicable law or third-party rights.
17. Changes to these Terms
We may update these Terms from time to time. If we make a material change, we will publish the updated version and revise the date at the top of this page.
Continued use of the Services after the effective date of the revised Terms constitutes acceptance of the updated Terms.
18. Governing law and jurisdiction
These Terms are governed by the laws of France, excluding its conflict of law rules.
The courts of France have jurisdiction over disputes arising out of or in connection with these Terms, subject to any mandatory rights you may have under applicable consumer law.
